We are Will Writers Guild (2013) Ltd, a company registered in England with number 14630839, whose registered office is at 27 Old Gloucester Street, London, WC1N 3AX.

By using our site, you signify your acceptance of these terms and conditions and your agreement to adhere by them.

Will Writers Guild (2013) Ltd operates a platform linking Freelancers to Clients.

  1. Definitions

In these terms and conditions:

‘Client’ means a person using the https://willwritersguild.co.uk to hire a freelancer;

‘Commencement of the project’ signifies that the Client has either purchased an Offer or has accepted a Proposal for a custom project;

‘Custom Project’  is a project that starts when a Client accepts a proposal or when a Freelancer accepts an Offer to be hired. After the Client posts a request on https://willwritersguild.co.uk and following a discussion between the Client and the Freelancer, this work is agreed upon;

‘Offer’ is a pre-packaged service that is provided within a set timeframe and at a set cost by a Freelancer on https://willwritersguild.co.uk;

‘Invoice’ means a receipt for a finished project;

‘Project’ signifies a task that a Freelancer and Client have agreed to exchange via https://willwritersguild.co.uk and which the Freelancer will deliver to the Client. Depending on whether the Client purchases an Offer or accepts a Freelancer’s proposal for a specific project, a project is the agreed-upon work;

‘Proposal’ is a proposal submitted by a Freelancer to a Client to complete a unique project, which must include a price estimate; and

‘Freelancer’ signifies an individual who offers services to a Client via https://willwritersguild.co.uk.

 

  1. Services
    1. On https://willwritersguild.co.uk services are offered through Offers, which are fixed-price services, or custom projects, which might have a fixed price, an hourly rate, or an itemised cost.
    2. The Freelancer/Client has complete discretion over whether to offer and/or accept an assignment. This process is not under the control of Will Writers Guild (2013) Ltd. Freelancers offer their services directly to Clients, who set the deliverables, the pricing, and all other conditions.
    3. Prior to the start of a project, the Client must confirm their requirements and deposit monies into Will Writers Guild (2013) Ltd.’s Client Account.
    4. The Freelancer is required to give regular progress reports and reply to all messages from the Client within [X] working day.
    5. For special tasks, Freelancers must meet the delivery deadlines specified in their offer or in advance agreed upon with the client. Late deliveries will lower a Freelancer’s ranking.
    6. Freelancers must complete their Projects, and Clients must agree to pay for the job that is completed. Freelances/Clients who cancel or receive refunds without a valid reason will be penalised. If the Client is not initially satisfied, Freelancers must provide further variations on the work produced.
    7. The Freelancer will submit a request for payment after the job is completed, including a request for the release of monies held in Will Writers Guild (2013) Ltd.’s Client Account. Freelancers are not permitted to demand payment before the job is finished. Clients must make payment of any Invoice within the allotted seven days.

 

  1. Funds
    1. Will Writers Guild (2013) Ltd IS NOT A BANK and solely retains money to pay for individual Freelancer Invoices and to settle the provision of services. All Freelances/Clients are strongly advised not to keep unused balances on the platform. No Freelances/Clients are allowed to keep a dormant balance open for longer than [X] days on the site. Financial Services Compensation Schemes or other governmental organisations do not insure or provide coverage for funds held by Will Writers Guild (2013) Ltd on the platform.

 

  1. Payments
    1. Between the Client and the Freelancer, Will Writers Guild (2013) Ltd serves as an Agent. Will Writers Guild (2013) Ltd consents to release the Client from its duties related to debts owed to the Freelancer under this agreement in exchange for the Client paying the full Invoice amount for the project. Subject to our fraud and AML procedures, Will Writers Guild (2013) Ltd agrees to make such money available to the Freelancer. Following a clearance time, Freelancers can withdraw those funds provided they have a legitimate withdrawal account set up.

 

  1. Project delivery
    1. On purchase of an Offer the Client’s funds will be held in Will Writers Guild (2013) Ltd.’s Client Account.
    2. The Client must then provide the required information and detailed requirements in order for the Freelancer to commence the Project.
    3. Once the requirements are provided by the Client, the Freelancer must:
      1. respond to the Client within one [X] working day(s) to confirm work has started;
      2. provide regular progress updates to the Client;
  • complete the project within the delivery timescales indicated in their Offer description;
  1. All direct communication between Client and Freelancer must go via https://willwritersguild.co.uk.
  2. Clients shall not communicate with the Freelancer directly outside of the https://willwritersguild.co.uk.

 

  1. Charges and Payments
    1. In consideration for the provision of the Project, the Client shall pay the Freelancer the fixed price, price per item or at a per hour rate, as stated on https://willwritersguild.co.uk into the Will Writers Guild (2013) Ltd.’s Client Account.
    2. On acceptance of a Proposal the Client will pay into the Will Writers Guild (2013) Ltd.’s Client Account the agreed deposit amount.
    3. Upon completion of the Custom project, the Freelancer will raise an Invoice:
      1. The costs listed on the invoice should match what was expressly agreed upon in the proposal. A revision to a previously agreed pricing may be required if requirements materially change throughout a custom project. Before any additional work is done, this must be expressly agreed upon by all parties so that the Client can decide whether they want to proceed with the increased scope at the higher price;
      2. the Client must pay the Invoice within seven (7) days of the Invoice being raised;
  • Alternatively, if the Client does not agree that the project has been completed then the Client can reject the Invoice. The Client must then provide the Freelancer with detailed feedback on what work remains outstanding. The Freelancer must provide, and be given the chance to provide, at least two iterations of the deliverables based on detailed feedback from the Client;
  1. If the Client does not either i) pay the invoice or ii) reject the invoice within the allotted seven (7) days, Will Writers Guild (2013) Ltd shall help the Freelancer in pursuing payment and may restrict the Client’s account either temporarily or permanently.

 

  1. Quality
    1. All Freelancers must make an effort to produce work of a high calibre that is in line with the requirements of their Clients.
    2. In particular, Freelancers are required to make sure that all deliverables are:
      1. free of errors;
      2. has met each need that the Client has specified;
  • consist of a full set of deliverables that are agreed upon as part of the specifications for custom projects or as specified in the offer description; and
  1. the quality work corresponds to the level of experience stated in the Freelancer’s profile and proposals.

 

  1. General
    1. The type of project—hourly, custom, or set price—is decided by the Client and the Freelancer. Direct negotiations between them decide the “projects”‘ terms and conditions, including deliverables, any particular requirements, and the price.
    2. The Client and Freelancer create a direct service contract between themselves and Will Writers Guild (2013) Ltd are not party to that contract (‘the Service Contract’).
    3. Intellectual Property rights in all work produced by the Freelancer in the course of undertaking the projects shall vest in the Will Writers Guild (2013) Ltd immediately upon creation of the same, and shall remain so vested, irrespective of whether it has been paid for by Will Writers Guild (2013) Ltd.

 

  1. Leaving Feedback
    1. Both parties are requested to give feedback for the other party when the project is finished, and the Freelancer has been paid by the Client.
    2. The feedback form must be completed truthfully by both parties. Freelancers/Clients are not permitted to give incentives in exchange for feedback, manipulate or pressure another Freelancer/Client by threatening bad feedback. This kind of attempt should be immediately reported to Will Writers Guild (2013) Ltd.
    3. We shall examine and, at our discretion, may remove feedback comments that are flagged as inappropriate, abusive, or defamatory.

 

  1. Cancellations
    1. A Client is entitled to receive a refund of funds held in the Will Writers Guild (2013) Ltd’s Client Account under the following circumstances:
      1. the Freelancer has not responded within [X] working day(s) of the Commencement of the project;
      2. for Offers, the Freelancer of an Offer did not deliver the scope of work within the delivery timescales indicated in the Offer.
    2. Client and Freelancer may mutually agree to a refund for reasons other than the above clause 6. c.

 

  1. Privacy Policy
    1. By continuing to use the Will Writers Guild (2013) Ltd service, Freelancers/Clients consent to Will Writers Guild (2013) Ltd processing their personal data (including sensitive personal data), as described in this agreement and the EU General Data Protection Regulation 2016/679, in compliance with those rules.
    2. Will Writers Guild (2013) Ltd may utilise your personal information to compile feedback on any interactions you may have had with our platform. By gathering valuable information, this promotes the expansion of our firm.
    3. There is no Service Contract between the Client and the Freelancer to which Will Writers Guild (2013) Ltd is a party. Any Service Contract that is negotiated between a Client and a Freelancer must adhere to the provisions of the EU General Data Protection Regulation 2016/679.

 

  1. Governing Law and Jurisdiction.

 

  1. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the law of England and Wales.
  2. The Client and Will Writers Guild (2013) Ltd irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Contract or its subject matter or formation (including non-contractual disputes or claims).
